Dans le cadre du projet de modernisation du service public régional de transport ferroviaire de personnes, la Région Occitanie, autorité organisatrice, a demandé le transfert de propriété du matériel roulant utilisé pour la poursuite de ces missions de service public. Afin de garantir une mise à disposition aux exploitants ferroviaires, transparente et non discriminatoire, des matériels dont elle aura récupéré la propriété, la Région a décidé de confier à un concessionnaire la mission de financer, d'acquérir puis gérer le matériel roulant. Au titre du contrat de concession, la mise à disposition de matériels roulants donne lieu à la perception d'un droit d'entrée par la Région auprès du concessionnaire. Ce dernier est autorisé à percevoir les loyers auprès des entreprises ferroviaires en contrepartie de la mise à disposition de matériels roulants et bénéficie de subventions d'investissement de la Région
